Terms & Conditions
These are the terms that apply when you engage Cybernaut Studio (Pty) Ltd for a custom software project or a small-business website package.
Last updated 23 October 2026
Overview
These terms apply whenever you engage Cybernaut Studio (Pty) Ltd ("Cybernaut Studio", "we", "us") ("you", "the client"). Cybernaut Studio offers two kinds of engagement, covered in the two sections below:
- Custom software projects, scoped, quoted and delivered against a written proposal. This is our primary service for growing businesses.
- Small-business website packages, a fixed-scope website as a service, billed once-off plus a recurring monthly fee, for eligible small South African businesses.
By signing a proposal, paying an initial invoice, or messaging us to get started, you agree to the terms that apply to the relevant engagement.
Custom software projects
Scope and proposal. Custom work is scoped following discovery and set out in a written proposal covering deliverables, assumptions, milestones and investment. The proposal, together with these terms, governs the engagement.
Payment milestones. Payment is normally divided across an initial commitment and agreed delivery milestones, as set out in the proposal. Recurring hosting, support or ongoing development is invoiced separately from the initial build.
Scope changes. Requests that change the agreed scope are documented, and we agree together whether the change replaces another priority, moves into a later phase, or is quoted as additional work. Material changes may affect timing and cost.
Delivery and acceptance. Milestones are demonstrated for your review as development progresses. See our Delivery & Changes Policy for how releases, testing and handover work.
Cancellation. A project may be cancelled by either party on written notice. You remain responsible for milestones already delivered or work in progress at the time of cancellation. See our Refund Policy for how this is settled financially.
Ownership and intellectual property. You own your business content, data, branding and any materials you provide. Unless a full intellectual-property transfer has been agreed in writing for your project, Cybernaut Studio retains ownership of the underlying software, source code, templates and technical architecture developed for your project, including elements that may be reused, adapted or white-labelled across other client projects. You receive a perpetual licence to use the delivered system, as delivered, for your own business operations. This licence does not include future updates, improvements or new features, those are covered separately through an active managed hosting or ongoing development arrangement. A full transfer of intellectual property in the custom-developed code is available as a separately quoted option, agreed in writing before development begins. Unless otherwise agreed in writing, Cybernaut Studio may reference completed projects in its own portfolio and marketing.
Ongoing support. Managed hosting, maintenance and ongoing development after launch are separate, optional services with their own scope and pricing, agreed in writing before they begin.
Small-business website packages
This section covers our fixed-scope small-business website package, available to eligible South African businesses with fewer than 10 employees.
The service. A done-for-you website package: we design and build a mobile-friendly website for your business, then keep it running for a flat monthly fee. This includes a domain registered in your name, managed hosting, business email, SSL and security, a working contact form, and foundational on-page SEO and AIO setup. Exact inclusions and current pricing are shown on our small-business website page. Optional extras (booking or calendar setup, analytics setup and extra mailboxes) are priced separately and only apply if you request them.
Pricing and payment. Pricing is shown on the small-business website page at the time you sign up. Payments are processed securely through PayFast. The monthly fee is billed as a recurring subscription; you'll be charged automatically each month until you cancel. We may adjust pricing for new sign-ups from time to time, but we won't change what you're already paying without telling you first.
Getting your site built. Once you've paid the setup fee, we'll ask you for the content we need. How quickly your site goes live depends largely on how quickly you can get us this information. You'll get a chance to review the site before it goes live, and we'll make reasonable adjustments based on your feedback as part of the initial build.
Domain and ownership. Your domain is registered in your name. If you ever leave, you keep it and, on request, we'll help you export your content.
Changes and small updates. What's included in your monthly fee is described on the small-business website page. Larger changes, new pages beyond your starting scope, new features, or a redesign are quoted separately.
Cancellation. There's no lock-in. You can cancel your monthly subscription at any time by messaging us, with no notice period or cancellation fee. Your site and email stay live until the end of the billing period you've already paid for. See our Refund Policy for how refunds work.
Acceptable use
You're responsible for the content and legality of your own website or system, what you sell, what you claim, and how you use the tools we build or manage for you. We reserve the right to suspend hosting or access for a system used for anything illegal, fraudulent, or abusive, and we'll always try to talk to you first.
Liability
We take reasonable, professional care in scoping, building, hosting and supporting your website or system, but we don't guarantee 100% uptime, third-party infrastructure, domain registrars and the wider internet are outside our control. To the extent permitted by South African law, we aren't liable for indirect or consequential losses (like lost business or lost profit) arising from downtime, bugs, or delays, beyond the fees you've paid us for the relevant engagement or billing period.
Governing law
These terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act, 2008 and POPIA where applicable.
Changes to these terms
We may update these terms occasionally as our services evolve. We'll update the "last updated" date at the top of this page whenever we do, and material changes will be communicated to active clients.
